At Chenut, we participate in the development – and sometimes even the creation – of your business with you. By following our clients’ business, challenges and legal structure closely, we have been with them since their incorporation or arrival in Brazil, and this allows us to participate in legal solutions in a more assertive and dynamic way, whenever the client prefers.

One of our clients is an American company which, when it arrived in Brazil, was already operating in almost 20 countries. The company had full control of its business around the world, but with each new country it had to adapt its operations to that specific legislation and structure.

And when the business expanded to Brazil, it was no different.

How did we participate?

– Setting up the company: First we had to actually set up the company in Brazil. To do this, we jointly evaluated with our client the best corporate structure for the specific case, which would guarantee more security for the American parent company, and which would give the business the freedom to grow in Brazil. We also discussed and advised the client on who could and could not take part in the corporate structure and management of the company, based on current legislation.

Once all these issues have been defined, we promoted the registration, incorporation of the company and obtained the authorizations that this client needed to operate effectively. And here we found a very interesting specificity, which we will describe below.

– Registrations: Due to the peculiarity of our client’s operations, we also needed to check which specific registrations were required for its operation in Brazil. In this case, the company needed to register with the council that regulates its activities, with yet another important factor: registration had to be done in each of the states in which the company operated – in practice, because of its large operations from the start, registration is required in all 26 states and the Federal District.

And it’s worth remembering that this doesn’t happen in all countries, which is why it was so important for us to evaluate issues such as regulatory law with our specific teams and understand our client’s operations in detail.

We help the client define the fastest and least expensive strategy for promoting all these registrations and we monitor the execution of this stage. As registration renewals and changes are still constantly required before the regulatory body, we promote and monitor this stage on an ongoing basis.

– Compliance policies and LGPD: We developed the company’s compliance and governance policies in Brazil, as well as the personal data protection policy.

It’s worth mentioning that the American parent company already had internal policies and guidelines that had to be respected. Therefore, after studying and understanding the company’s global policies, we adapted everything necessary to make them effective in our country, which, for example, has a specific data protection law.

– Contracts: Another assistance provided was to assess the best form of contracting in all aspects of the company and then participate in drawing up and negotiating each of the contracts.

This study considered the labor and tax risks involved and the regulatory requirements, and included the hiring of suppliers and service providers, the hiring of the Brazilian team itself, the relationship with clients, and all the other documents necessary for the company to operate.

The company’s main contracts, in turn, should also follow the guidelines of the parent company, replicating conditions practiced in the United States and the rest of the world, and so these contracts were drawn up so that they could be harmonized with Brazilian legislation and the internal policies of the American parent company.

– Monitoring: As the company and its operations are dynamic and in a constant process of improvement, in addition to the natural growth of business in Brazil, we still monitor corporate changes that are always convenient, the renewal of registrations and, of course, the renewal and negotiation of new contracts.

The intention is to collaborate in creating the entire legal structure that the client needs to operate, always paying attention to the lowest possible risk exposure, giving companies the freedom to operate safely and reliably.
